Mercury Social Media Copilot

Terms of Use

These terms govern use of Mercury Social Media Copilot (the “Copilot”), an internal business application operated by Mercury International GmbH. They supplement applicable employment, contractor, confidentiality, information-security and channel-governance policies.

1. Authorized internal use

The Copilot is not a public consumer service. Only people expressly authorized by Mercury may use it, and only for the company, brands, products and connected accounts within their assigned role. Access may be changed or withdrawn at any time.

2. Accounts and security

Use your own assigned account, keep credentials confidential and sign out on shared devices. Do not share session links, passwords or platform tokens, bypass access controls, test the service for vulnerabilities without written authorization, or introduce malware or disruptive automation. Report suspected compromise promptly.

3. Lawful and responsible content

You are responsible for ensuring that submitted products, claims, captions, targeting choices and media are accurate, lawful and appropriate for the intended market and audience. Do not enter or publish unlawful, deceptive, discriminatory, defamatory, infringing, unsafe or confidential material.

Before uploading or publishing, confirm that Mercury has the necessary copyright, trademark, personality, privacy, publicity, model, location, music and other permissions. Record material restrictions and expiry dates. Do not upload unnecessary sensitive data or content involving children unless the use has been specifically authorized and legally reviewed.

4. AI-assisted functions

AI suggestions and generated media are editable working material. They may contain errors, unsupported claims, visual alterations or unsuitable output. Automated checks are limited and do not establish legal compliance, platform acceptance, accessibility conformance, ownership or factual accuracy.

A qualified person must review the full output against source material and current requirements before approval. Apply every disclosure, label or provenance measure required by applicable law and the destination platform, including for AI-generated or materially manipulated content. Do not use the Copilot to make solely automated decisions about people that have legal or similarly significant effects.

5. Review and publishing authority

Only content with the required internal approvals may be submitted. Immediately before submission, verify the destination account, audience, caption, media, commercial-content settings, AI disclosure, timing and interaction controls. Scheduling does not remove this responsibility.

A success message may confirm only that a request was submitted or accepted for processing. Publication can be delayed, limited or rejected by the destination platform. Mercury cannot reliably withdraw a submitted request; remove or correct live content through the relevant platform when necessary.

6. Connected services

Shopify, OpenAI, Meta, Instagram, Facebook, TikTok and other connected services remain governed by their own terms, policies, developer requirements and privacy information. Use a connection only within the permissions, approved use case and access level granted by the provider. Internal validation rules assist review but do not replace current official rules.

7. Records and monitoring

The Copilot records approvals, comments, schedules, publishing results and successful changes for security, accountability and business continuity. Authorized administrators may review these records. Use of the Copilot is subject to the Copilot Privacy Notice and applicable internal monitoring rules.

8. Intellectual property

Mercury and its licensors retain their rights in the Copilot, brand system, templates and underlying software. Rights in third-party materials remain with their respective owners. No Copilot output grants rights in source material, platform content or another person’s likeness or intellectual property.

9. Availability and changes

The Copilot is provided as an internal operational tool and may be changed, suspended or unavailable. Providers may alter APIs, permissions or limits without notice. Maintain a practical manual fallback for time-sensitive work and verify important records or publications at their source.

10. Responsibility and mandatory law

Users must follow these terms and applicable internal policies. To the extent permitted by law, Mercury does not warrant uninterrupted service or the accuracy, legality or platform acceptance of generated or imported material. Nothing in these terms excludes liability or rights that cannot lawfully be excluded.

11. Ending access

Stop using the Copilot when authorization ends. Mercury may suspend access to protect accounts, investigate misuse, comply with law or provider requirements, or manage the service. Confidentiality, rights, records and other provisions that by their nature continue will survive the end of access.

12. Governing law

These terms are governed by Swiss law, without prejudice to mandatory rules that apply regardless of that choice. Subject to mandatory jurisdiction, the courts at Mercury’s registered seat have jurisdiction.
